Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Peich Technologies Inc., operating as ForgeMRP ("we," "us," or "our"). By accessing or using ForgeMRP at forgemrp.com (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

ForgeMRP is a manufacturing resource planning (MRP) platform that helps manufacturers manage quotes, jobs, production, purchasing, and related business operations. The Service may include integrations with third-party services such as QuickBooks Online.

3. Account Registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code
• Resell or redistribute the Service without our written consent

5. Your Data

You retain ownership of all data you upload or enter into ForgeMRP ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service. We will not sell, share, or use Your Data for purposes unrelated to the Service.

You are responsible for the accuracy and legality of Your Data. You represent that you have the right to provide any data you upload to the Service.

6. Third-Party Integrations

The Service may offer integrations with third-party services (e.g., QuickBooks Online). By enabling an integration, you authorize ForgeMRP to exchange data with the third-party service on your behalf. Third-party services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

You may disconnect a third-party integration at any time through your account settings. Upon disconnection, we will cease exchanging data with that service, though previously synchronized data may remain in the third-party service.

7. Fees and Payment

Certain features of the Service may require a paid subscription. Fees are billed in advance on a recurring basis. You agree to pay all applicable fees. We reserve the right to change pricing with 30 days' notice.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance or updates that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.

9. Intellectual Property

The Service, including its design, code, features, and documentation, is the property of Peich Technologies Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

10. Limitation of Liability

To the maximum extent permitted by law, Peich Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

Either party may terminate this agreement at any time. You may stop using the Service and request account deletion. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for 30 days following termination.

13. Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Montreal, Quebec.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
